Terms of Service for GEOfast

§ 1 Scope and Provider Information

(1) These Terms of Service ("Terms") govern the contractual relationship between the providers of GEOfast and the users ("Customer" or "you") of this service.

(3) These Terms apply to all services rendered via the website geofast.me. Deviating terms from the Customer will not be recognized unless the Provider expressly agrees to their validity in writing.

§ 2 Subject of the Agreement

(1) The subject of this agreement is the provision of the online service GEOfast (the "Service"). The Service enables the Customer to use a JavaScript snippet to prepare the content of their website in a machine-readable format for AI models and generative search engines.

(2) The precise scope of services is described on the GEOfast website as updated from time to time.

(3) The Service includes the registration of a user account and the generation of an individual JavaScript snippet for integration into the Customer's website. The conversion of the website content occurs dynamically and client-side within the browser of the end-user visiting the Customer's website. The Provider does not store the Customer's website content.

§ 3 Conclusion of the Contract

(1) The presentation of the Service on the website does not constitute a legally binding offer, but rather an invitation to the Customer to submit an offer.

(2) The contract is formed when the Customer registers on the geofast.me website, and the Provider accepts this registration by activating the account and providing the snippet.

(3) There is no entitlement to the conclusion of a contract. The Provider reserves the right to refuse registrations without stating a reason.

§ 4 Customer's Obligations

1. The Customer is obligated to provide truthful and complete information during registration.
2. The Customer is solely responsible for the correct implementation of the provided JavaScript snippet on their website. The Provider will supply instructions for this purpose.
3. The Customer must not misuse the Service. Misuse includes, but is not limited to, attempting to interfere with the Service's functionality or using the snippet on websites with illegal, misleading, or third-party copyrighted content.
4. The Customer ensures that the content of their website where the snippet is used complies with applicable law. The Customer shall indemnify the Provider against all claims from third parties arising from a breach of this obligation.

§ 5 Grant of Rights

(1) For the duration of the contract, the Provider grants the Customer a simple, non-transferable right to use the Service and the associated JavaScript snippet for the website defined in the contract.

(2) All software that is part of the Service remains the intellectual property of the Provider. The Customer is not permitted to decompile, modify, or reproduce the software, unless expressly permitted by law.

§ 6 Remuneration and Payment Terms

(1) The use of the basic version of the Service is free of charge. Future paid premium features will be separately identified and require a separate order by the Customer.

(2) If paid services are used, the prices listed on the geofast.me website at the time of the order shall apply.

§ 7 Liability

(1) The Provider is liable without limitation for intent and gross negligence, as well as for damages resulting from injury to life, body, or health.

(2) In the case of a slightly negligent breach of a material contractual obligation (a "cardinal duty"), the Provider's liability is limited to the foreseeable, typical damage for this type of contract. Material contractual obligations are those whose fulfillment is essential for the proper execution of the contract and on whose compliance the Customer can regularly rely.

(3) The Service is provided without any warranty regarding page speed or SEO ranking. The snippet is designed to load asynchronously and should not have a negative impact, but no guarantee is given.

(4) Any further liability of the Provider is excluded.

§ 8 Contract Duration and Termination

1. The user agreement is concluded for an indefinite period.
2. The Customer may terminate the contract at any time without notice by deleting their account in the user area or by sending an informal termination notice via email to the support email address.
3. The Provider may terminate the contract with a notice period of 14 days to the end of the month.
4. The right of both parties to extraordinary termination for good cause remains unaffected. A good cause for the Provider exists in particular if the Customer breaches their obligations under § 4 of these Terms.

§ 9 Data Protection

The Provider collects and processes the Customer's personal data within the scope of contract execution. Details are provided in the separate Privacy Policy, which is available on the geofast.me website.

§ 10 Final Provisions

(1) This agreement shall be governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The place of jurisdiction for all disputes arising from this contractual relationship shall be Berlin, Germany, provided the Customer is a merchant, a legal entity under public law, or a special fund under public law.

(3) Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the invalid provision.
